Sovereign and Non-Profit

Work with the Government of Armenia as counterparty, and ongoing support for charities.

What we do

Much of our project work has the Government of Armenia on the other side of the table. On the Masrik-1 solar plant we negotiated amendments to the PPP Agreement and agreements with the Government to address delays caused by force majeure. On Electric Networks of Armenia we advised the financing parties on the licence revocation process, its regulatory framework and the possible use of eminent domain.

We provide ongoing Armenian law support to the Armenia Tree Project Charitable Foundation across its charitable, environmental and reforestation work: employment, corporate and governance matters, and the agreements behind its projects, including forest restoration on community lands financed by the Green Climate Fund.

Selected matters

Fotowatio Renewable Ventures (FRV)

Masrik-1 solar photovoltaic plant, 55 MW

FRV, part of Abdul Latif Jameel Energy, chose Armenia for its first solar initiative in the Caucasus. The 55 MW plant at Mets Masrik, Gegharkunik Province, was Armenia’s first utility-scale solar energy initiative.

We have supported FRV from the bidding stage through financing and into operation, including negotiating amendments to the PPP Agreement and agreements with the Government of Armenia to address delays caused by force majeure events.

Electric Networks of Armenia: licence revocation and creditor protection

As financing parties to Electric Networks of Armenia (ENA), the country’s sole electricity distribution company, our clients needed Armenian law advice on the distribution licence revocation process and the nationalisation-related developments that followed.

We advised on the revocation procedure and its regulatory framework, on transaction scenarios including a negotiated alienation of ENA shares and the possible use of eminent domain, and on creditor protection and the clients’ rights.
